Sales Contract for Installment Payments
Buyer's Copy to be Returned to Buyer after Seller Signs
1. Names. Seller (Crest Photography Inc) and Buyer (whose name is
listed below) agree to the following sale.
2. Property being sold. Seller agrees to
sell to Buyer, and Buyer agrees to buy from Seller the following property: Katahdin Art Project Memorial Edition.
3. Condition of the Property. The property is
new.
4. Warranties. The property is
being sold with a total satisfaction guarantee for 1 year after date of
delivery. Seller will accept returns,
no questions asked, if original signature card is intact. The price refunded will be actual cost of
product and excludes all lay away costs and shipping and handling charges. Buyer is responsible for cost incurred
shipping product back to seller.
5. Purchase Price. The total purchase
price for the property is $310.00. This includes actual cost of product-- $250.00, shipping and
handling charge of product--$30.00, and a surplus lay away charge for the
product--$30.00.
6. Down Payment. Buyer will make a down
payment of $40.00 (cashier check or money order) when this contract is
signed. This down payment will be
applied towards the purchase price. A
Buyer signed contract must be included with down payment in order for lay away
sales contract to be valid. No signed
contract accompanying down payment results in forfeiture of down payment. Notice of this action will be sent by Seller
to Buyer via regular mail to address listed by buyer.
7. Time of Payments. Buyer will pay
Seller the purchase price (less $40.00 down payment) in installments as
follows: $30.00 cashier check or money
order (no personal checks, cash or credit cards) each month for the following 9
months starting 30 days after contract signed.
Buyer will send Seller 9 monthly payments of $30.00 (cashier check
or money orders only) for an installment payment total of $270.00.
8. Ownership. Seller is the sole owner of property until
final installment payment is received.
9. Transfer of Ownership. Seller will
transfer ownership of property to Buyer via UPS delivery of product within 30
days of receiving final installment payment.
10. Delivery. Seller will deliver the property to Buyer
via UPS within 30 days of receiving final installment payment. If it appears that more than 30 days will pass
before delivery Seller will notify Buyer via mail or phone.
11. Termination of Contract. If the
Buyer terminates the contract prior to delivery of product a one-time charge of
$100.00 will be deducted from down payments and installment payments received. The remaining funds will be
returned to Buyer as a cashier check or money order to address indicated by
Buyer. Termination of contract can
occur in 2 ways. Buyer notifies Seller
of intention to terminate contract in writing or Buyer has not paid $270 in
installment payments within 1 year of signing contract. If Seller is unable to contact Buyer, Seller
will hold funds in escrow account minus $100 termination fee until Buyer
notifies Seller of address to send refund.
12. Successors and Assignees. This agreement
binds and benefits the heirs, successors, and assignees of the parties.
13. Notices. All notices must be in writing except those
concerning delayed shipping. A notice
may be delivered to a party at the address that follows a party’s signature or
to a new address party designates in writing.
A notice may be delivered via regular mail or by certified mail. Buyer may use electronic mail or regular
mail or fax for change of address notices.
14. Modifications. This agreement may
only be modified by a writing signed by the party against whom such
modification is sought to be enforced.
15. Governing Law. This agreement will
be governed and construed in accordance with laws of the state of Washington.
16. Entire Agreement. This is the entire
agreement between the parties. It
replaces and supersedes any and all oral agreements between the parties, as
well as any prior writings.
17. Waiver. If one party waives any term or provision of
this agreement at any time, that waiver will only be effective for the specific
instance and specific purpose for which the waiver was given.
18. Severability. If any court
determines that any provision of this lease is invalid or unenforceable any
invalidity or unenforceability will affect only that provision and not make any
other provision of this lease invalid or unenforceable and shall be modified,
amended or only limited to the extend necessary to render it valid and
enforceable.
19. Other Terms and Conditions. Seller will send to Buyer via regular mail a copy of signed agreement. Seller will hold original agreement and compile an account file, based on Buyer name, address, and name of favorite pet. Seller will update file within 5 working days of receipt of installment payment. When monthly installment payment is 30 days overdue Seller will notify buyer of delinquent account via regular mail. If any 2 of the 9 installment payments are 30 days or more late this agreement will be immediately terminated by the Seller. A $100 termination fee will be charged to the account. Seller will hold Buyer’s remaining funds in separate escrow account until Buyer notifies Seller of where to send refund cashier check or money order. Seller will not release any information supplied by the Buyer to anyone except shipping vendor.
